Angelinvest Customer Agreement

This Customer Agreement (“Agreement”) is entered into by and between Angelinvest ApS, Nybrogade 22, DK-1203 Copenhagen, Denmark (“Angelinvest”, “we”, “us”, or “our”), and you, the customer (“Customer”, “you”, “your”).
This Agreement governs your access to and use of our services, software, and platform features (collectively, the “Services”). By using the Services, you acknowledge and agree to be bound by this Agreement, our Terms of Use, Privacy Policy, and any applicable Order Form.

Capitalized terms used in this Agreement have the following meanings:
Affiliate: An entity directly or indirectly controlled by or under common control with Angelinvest.
Customer Content: Any data, files, or materials uploaded or transmitted by you.
Derived Data: Aggregated or anonymized data resulting from your use of the Services.
Documentation: User manuals, guidelines, and other materials provided by us.
Effective Date: The date this Agreement becomes effective.
Fees: Subscription, onboarding, and usage fees described in the Order Form.
Services: Access to the Angelinvest platform, tools, analytics, and onboarding support.
Software: Angelinvest’s proprietary web-based platform.
Subscription Plan: The tiered service plan selected by you.
Order Form: The agreement outlining your chosen Services, subscription level, and pricing.

You are granted a non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the term, subject to payment of applicable Fees.
You may not:

• Use the Services in violation of law or third-party rights.
• Attempt to reverse engineer or replicate the Software.
• Permit unauthorised users to access the Services.
• Use the Services to build a competing platform.

You agree to:

• Provide accurate account information and promptly update changes.
• Maintain confidentiality of login credentials.
• Ensure that all use of the Services by End Users complies with this Agreement.
• Obtain all necessary consents for uploading Customer Content.

You remain solely responsible for the legality, quality, and integrity of Customer Content.

We implement reasonable technical and organizational measures to protect Customer Content. Please refer to our Privacy Policy for details.
International data transfers, including to the U.S. or UK, are conducted under GDPR-compliant safeguards (e.g., SCCs or UK addenda).

• Fees are outlined in the applicable Order Form and are due in advance.
• Late payments may incur interest and suspension of Services.
• All payments are non-cancellable and non-refundable unless otherwise stated.
• Fees may be adjusted with prior written notice (e.g., due to plan upgrades or additional users).

We aim to provide Services with reasonable uptime. Planned downtime or interruptions will be communicated in advance. Support is available on business days during working hours.

• This Agreement continues until terminated in accordance with this Section.
• Either party may terminate for material breach with 30 days’ notice and opportunity to cure.
• We may suspend or terminate your account for non-payment or misuse.
• Upon termination, you must cease use of the Services. Customer Content may be retained for up to 30 days post-termination for retrieval.

Services are provided “as-is” and “as-available.” Angelinvest disclaims all warranties not expressly stated, including any implied warranties of merchantability or fitness for purpose.
We do not offer investment, financial, legal, or tax advice. The platform is intended solely as a digital tool for information and networking.

To the maximum extent permitted by law, our liability to you shall not exceed the greater of:

• $ 660; or
• The Fees paid by you in the 12 months preceding the claim.
  We are not liable for any indirect, incidental, or consequential damages, or for loss of business, data, or profit.

Both parties agree to maintain the confidentiality of proprietary and sensitive information exchanged during the Term. Disclosure is permitted only to authorized personnel or where legally required.

You are solely responsible for complying with applicable laws (e.g., GDPR, CCPA, local data laws). You agree not to misuse the Services or engage in prohibited conduct (e.g., illegal activity, infringement, or unauthorized access).

• If you are a user located in the United States:
• Angelinvest is not a registered investment advisor, broker-dealer, or funding portal.
• The platform is not intended for offering or selling securities.
• You are solely responsible for determining compliance with U.S. securities laws (e.g., SEC, CCPA).
• Any use of the platform for investment activity must comply with applicable federal or state laws.

• Entire Agreement: This is the complete agreement between the parties.
• Amendments: We may update these terms with notice. Continued use signifies acceptance.
• Force Majeure: Neither party is liable for delays due to events beyond control.
• Assignment: You may not assign rights without our prior written consent.
• Audit: Annual audits may be requested under specific conditions.
• Third-Party Rights: No third party shall have enforcement rights under this Agreement.
