Angelinvest Terms & Conditions

• The Angelinvest website (the Site) is owned and operated by Angelinvest ApS of Nybrogade 22, DK 1203, Copenhagen, Denmark (Angelinvest, we, us). By using the Site you agree to be bound by these terms and conditions (the Terms) and the privacy policy accessible in the Site (the Privacy Policy). These Terms and the Privacy Policy affect your legal rights and obligations so please read them carefully. If you do not agree to be bound by these Terms and/or the Privacy Policy, do not use the Site. • We reserve the right to update these Terms from time to time at our discretion. If we do so, the updated version will be effective as soon as it is accessible. You are responsible for regularly reviewing these Terms so that you are aware of any changes to them.
• Users of the Site may search for investment opportunities or for investors. Our role is to allow such users to engage through the Site. We do not act as principal in any transaction between users, nor as agent for either party, nor are we party to any binding agreement between the parties in relation to the provision and/or receipt of investment or otherwise.

• To register and use this Site you must be at least 18 years old and legally able to enter into a contract in the territory in which you are resident.
• When you register with the Site you will provide us with information about you and you will create a username and password to access and use certain areas of the Site. You must provide us with accurate account information. You are responsible for keeping your username and password confidential and you are responsible for any activity under your account. You shall immediately notify us of any unauthorised use of your account. You should close all browser windows at the end of each session. We are not liable for any loss or damage arising from your failure to comply with this paragraph.
• You must pay the fee to register before your registration can be accepted. Registration fees are payable monthly in advance. We reserve the right to amend the monthly fee on one month’s written notice to you, and if you do not accept the change to the monthly fee, you shall be entitled to terminate your registration by contacting info@angelinvest.com.
• If you register as an investor (an Investor), we will list on the Site your Business name and town where you are situated together with any other information that you have provided to us, including your investment experience. This information is available on the Site to all users seeking a business investment (an Entrepreneur) and you acknowledge that the Entrepreneurs will use this information to determine which Investor to contact. You must ensure that all information you provide to us relates only to you and is true, accurate, current and complete; and you must keep all such information up-to-date. At our request, you shall promptly provide written evidence of the validity of information that you provide to us.
• If you register as an Entrepreneur, we will list on the Site your company name, City and Country together with any other information that you have provided to us, including your proposed business plans. This information is available on the Site to all Investors and you acknowledge that the Investors will use this information to determine which Entrepreneur to contact. You must ensure that all information you provide to us relates only to you and is true, accurate, current and complete; and you must keep all such information up-to-date. At our request, you shall promptly provide written evidence of the validity of information that you provide to us.
• Each Investor may contact an Entrepreneur through the Site, and each Entrepreneur may contact an Investor though the Site to establish whether or not they wish to work together. Investors and Entrepreneurs must promptly respond to contact received through the Site. If the Investor agrees to invest, and the Entrepreneur agrees to receive such investment, each Investor and Entrepreneur acknowledges and agrees that AngelInvest is not a party to any agreement that they may enter into.
• You warrant that you have not copied the information you provide to us from anyone else, and you agree that we have the right and licence to use the information you provide to us in accordance with the provisions of these Terms.
• You agree that we do not make any representation or warranty (a) as to the ability, competence, or quality of the Investor or Entrepreneur; (b) that the information provided by an Investor or Entrepreneur is true, accurate, current and/or complete.
• You acknowledge that we do not investigate the backgrounds of any users or check the information provided by users, including the qualifications and experience listed within users’ profiles. You agree to take all necessary precautions in all interactions with other users including taking references and carrying out your own background checks.
• We do not agree to attempt to resolve any disputes between the Investor or Entrepreneur; but for our records, we ask that you inform us of any such dispute at ⦁ info@angelinvest.com. If we incur any costs as a result of a dispute, either the Investor or Entrepreneur in question shall at our discretion be liable to meet such costs.

• The Site is made available for your own, personal use to determine and consider investment proposals. The Site must not be used for any illegal or unauthorised purpose. Users of the Site may not use any information obtained from the Site to contact, advertise to, solicit, or sell to any other user except in accordance with these Terms and in relation only to business investments.
• When you use the Site you must comply with all applicable laws. In particular, but without limitation, you agree not to try to gain unauthorised access to the Site or any networks, servers or computer systems connected to the Site and/or reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble all or part of the Site save to the extent expressly permitted by law.
• Your interactions on the Site, including within your profile and your interactions with Investors or Entrepreneurs as the case may be, must not contain content that (a) promotes racism, hatred or physical harm of any kind against any group or individual; (b) harasses or encourages harassment of another person; (c) contains information that is inaccurate, false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous; (d) contains inappropriate content, including sexual or violent content; (e) involves the transmission of junk mail, chain letters, or unsolicited mass mailing or spamming; (f) infringes any third party rights, including copyright, trade marks or privacy; (g) contains a virus or other malicious code.
• You agree that we will be entitled to view the content of your interactions with other users. If we deem necessary, we may remove any content, including within your profile, but we do not actively edit profiles or interactions, and we do not accept any liability for the content of profiles or users’ interactions.
• The copyright in all material contained in the Site including all information, data, text, images and software is owned by or licensed to Angelinvest (Content). All rights are reserved. You can view, print or download extracts of the Content for your own use but you cannot otherwise copy, edit, vary, reproduce, publish, display, distribute, store, transmit, commercially exploit, disseminate in any form whatsoever or use the Content without our permission. The Site may contain information about how to obtain investments and other business information; you acknowledge that such content is for information only and you should not rely on it as advice.
• The Site may contain links to websites operated by third parties. We do not have any influence or control over any such third party websites and we are not responsible for and do not endorse any third party websites or their availability or content.
• We accept no responsibility for adverts contained within the Site. If you agree to purchase goods and/or services from any third party who advertises in the Site, you do so at your own risk. The advertiser, and not Angelinvest, is responsible for such goods and/or services and if you have any questions or complaints in relation to them, you should contact the advertiser.
• USE OF THE SITE IS AT YOUR OWN RISK. THE SITE IS PROVIDED ON AN “AS IS” BASIS. IF YOU ARE NOT SATISFIED WITH THIS SITE, OR THESE TERMS, YOUR ONLY REMEDY IS TO STOP USING THE SITE. WE DO NOT WARRANT THAT: (A) INVESTORS WILL FIND A SUITABLE INVESTMENT OPPORTUNITY; AND/OR (B) ENTREPRENEURS WILL BE OFFERED ANY INVESTMENT.
• TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE DISCLAIM ALL LIABILITY WHATSOEVER, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE) UNDER STATUTE OR OTHERWISE IN RELATION TO THE SITE; AND (B) ALL IMPLIED WARRANTIES, TERMS AND CONDITIONS RELATING TO THE SITE WHETHER IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE ARE EXCLUDED INCLUDING BUT NOT LIMITED TO SATISFACTORY QUALITY, FITNESS FOR PURPOSE, NON INFRINGEMENT, AVAILABILITY OR TIMELINESS. CONSUMER STATUTORY RIGHTS ARE NOT AFFECTED.
• ANGELINVEST WILL NOT BE LIABLE, IN CONTRACT, TORT (INCLUDING NEGLIGENCE), UNDER STATUTE OR OTHERWISE, AS A RESULT OF OR IN CONNECTION WITH THE SITE, FOR ANY (A) ECONOMIC LOSS (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUES, PROFITS, CONTRACTS, BUSINESS OR ANTICIPATED SAVINGS); (B) LOSS OF REPUTATION; (C) LOSS OF DATA; OR (D) SPECIAL OR INDIRECT OR CONSEQUENTIAL LOSS EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSSES. IF ANGELINVEST IS LIABLE TO YOU DIRECTLY OR INDIRECTLY IN RELATION TO THE SITE, THAT LIABILITY (HOWSOEVER ARISING) SHALL BE LIMITED TO USD250.
• Nothing in these Terms shall be construed as excluding or limiting our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation or for any other liability which cannot be excluded by law.

• We will use reasonable endeavours to make the Site available to you at all times. However, there may be occasions when access to the Site may be interrupted, including for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications links and/or equipment. In addition, you acknowledge that the Internet may be subject to breaches of security and that the submission of content and interactions with other users may not be secure.
• We reserve the right to remove any content or features from the Site for any reason, to change the fees payable and/or to suspend or cease providing any services relating to the Site without notice, and shall have no liability or responsibility to you in any manner whatsoever in such circumstances, save to refund any fees paid for access to content that is no longer accessible.

• We may suspend or delete your account if (a) you have breached any provision of these Terms including but not limited to payment of fees; (b) we cannot verify or authenticate any information you provide to us; (c) you fail to respond promptly to any contact made through the Site; and/or (d) we determine that your conduct could damage our reputation. Any such suspension or deletion will be without prejudice to any rights that we may have against you in respect of your breach of these Terms of Use. If we delete your account, you may not re-register under a different name and you acknowledge that your content may be deleted.
• You may delete your account on one month’s notice to us at ⦁ account@angelinvest.com

• These Terms and the Privacy Policy (as amended from time to time) constitute the entire agreement relating to your use of the Site.
• If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision shall be construed, as nearly as possible, to reflect the intentions of the parties and all other provisions shall remain in full force and effect.
• Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• We may assign or otherwise transfer our rights and obligations in terms of these Terms to third parties.
• Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the applicable laws and jurisdictions listed below, depending on the user’s location:

1. Users located in the European Union (EU), excluding Denmark:
   These Terms are governed by the laws of Denmark. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.
2. Users located in Denmark:
   These Terms are governed by the laws of Denmark. Any dispute or claim shall be resolved by the local Danish courts with jurisdiction over Copenhagen.
3. Users located in the United Kingdom (UK):
   These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
4. Users located in the United States of America (USA):
   These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware.

1. Regulatory Disclaimer:
   Angelinvest is not a registered broker-dealer, investment advisor, or funding portal with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulatory authority. The platform does not offer or sell securities, nor does it solicit investments or facilitate transactions.
2. No Investment Advice:
   Nothing on the Angelinvest platform constitutes investment advice, financial advice, legal advice, or a recommendation to buy or sell any security or financial product. All decisions made based on platform content are at the user’s sole risk.
3. Compliance with U.S. Securities Laws:
   All U.S. users must ensure that any investment activity complies with applicable U.S. federal and state securities laws. Angelinvest does not monitor or enforce compliance.
4. Accredited Investor Responsibility:
   U.S. investors are responsible for determining whether they qualify as “accredited investors” under U.S. law. Angelinvest does not verify investor qualifications.
5. Limitation of Liability:
   Angelinvest disclaims liability for investment outcomes or related losses. Platform services are provided “as is” without warranties of any kind.
6. Users in other jurisdictions:
   Where none of the above apply, these Terms shall be governed by the laws of Denmark, and any disputes shall be resolved in the courts of Copenhagen, unless otherwise required by mandatory local law.

We reserve the right to determine the applicable law and jurisdiction in the event of any ambiguity, and to comply with relevant local laws where necessary.
